LotFox Terms of Service
1. Who we are and what this agreement covers
LotFox is a property-intelligence service for Florida real estate professionals, operated by LOTFOX LLC, a Florida limited liability company ("LotFox," "we," "us"). It is available at thelotfox.com and lotfox.netlify.app and through any app, function, or export we provide (together, the "Service").
These Terms of Service (the "Terms") are a contract between you and LOTFOX LLC. You accept them by checking the acceptance box on the agreement screen during sign-up. That acceptance is recorded against your account with the date, time, and version of the Terms you accepted. Electronic acceptance is binding under the federal E-SIGN Act and Florida's Uniform Electronic Transaction Act.
If you do not agree, do not create an account or use the Service.
2. Who can use LotFox
You must be at least 18 years old and able to enter a binding contract.
LotFox is built for licensed Florida real estate agents, brokers, and the people who work with them. You do not need a license to create an account. If you tell us you are a licensed agent or broker, you are representing that the license is current and in good standing, and you agree we may verify it against the Florida DBPR public license lookup at any time.
3. Your account
What we collect at sign-up. First name, last name, email address, and a password are required. Whether you are an agent, and your brokerage if you are, are optional.
Password. LotFox stores your password only as a salted cryptographic hash. We cannot read it or recover it. If you forget it, we send a one-time reset link to your email address; anyone who can read your email can use that link, so you are responsible for keeping your email account secure. Choose a password you do not use anywhere else.
Email confirmation. When you create an account we send a one-time link to your email address. Your account cannot be used until that link is opened. The link works once and expires in fifteen minutes; you can request another from the sign-in screen.
Sessions. Once signed in, a session lasts up to 30 days on that device before you must sign in again. Sign-in does not send an email.
One person, one account. Your account is yours alone. Do not share your password, share sessions, or let anyone else use the Service through your account. Everything done through your account is treated as done by you.
Accurate information. Keep your name, email, and brokerage current. If your license status or brokerage changes, update your account.
Deleting your account. Email us at the address in section 24 and we will close your account. What happens to your data afterward is described in the Privacy Policy.
4. Organizations, seats, and invite codes
Every account belongs to an organization. An independent user is an organization of one. A brokerage or team is an organization of many.
If you join an organization using an invite code, the organization's administrator can see that you are a member, remove you from the organization, and, when billing exists, manage the organization's seats. Removal from an organization does not delete your account; it converts you to an organization of one unless the administrator tells us otherwise.
Nothing in these Terms requires you to belong to a brokerage, and the Service is not restricted for independent users.
An invite code is for the organization it was issued to. Do not share one outside that organization.
5. What LotFox is, and what it is not
LotFox looks up a Florida address in public property records, shows what those records say about the parcel, and applies rules to them: a flip-premium read, comparable qualified sales, permit history, building and structure detail where the county publishes it, and negotiation talking points. It can also analyze photos you upload to estimate materials, condition, and typical Florida repair costs.
LotFox is a research tool. It is not:
* an appraisal, a comparative market analysis, or a broker price opinion; * a home inspection, a survey, a title search, or a lien search; * legal, tax, financial, insurance, or investment advice; * MLS data. LotFox does not carry Multiple Listing Service data unless a specific screen says so; * a consumer report, and LotFox is not a consumer reporting agency (see section 10).
The Service supports your professional judgment. It does not replace it, and it does not replace the documents a transaction requires.
6. Where the data comes from, and what "no result" means
LotFox draws on public records: the Florida Department of Revenue tax roll (the NAL and SDF files each county submits to the state), county property appraiser exports, county building department permit records, and Department of Revenue parcel mapping. These are government records. We do not create them and we cannot correct them. If you believe a record is wrong, take it up with the county that published it.
Some things you should know about how these records behave inside LotFox:
* LotFox is designed to show the source of each figure and, where the source publishes one, an as-of date. A county file can run months behind the county's own website, and the state roll is annual. Treat every date on screen as part of the figure. * Sale dates carry a year and a month, not a day. Any holding period LotFox shows is accurate to the month at best. * "No result," "not checked," and "none recorded" are different, and LotFox is built to keep them different. If an address does not resolve to exactly one parcel, LotFox will ask you to choose or will tell you it found nothing. It will not guess. If a county publishes no permit data, no bedroom count, or no open-status field, LotFox says the field is unavailable. An empty field never means "no work was done" or "nothing is there." * Numbers you type in are yours. The flip-premium read depends on the list price you enter. LotFox echoes your entry back before using it. A wrong list price produces a wrong read. * Comparable sales come from qualified sales in the tax roll, selected by distance from the subject where parcel coordinates are available and otherwise by ZIP code. The screen is designed to say which. They are not MLS comps and are not an opinion of value. * Photo analysis produces estimates. Material identification, condition ratings, and cost figures are generated from the images you supply and typical Florida costs. They are not an inspection and can be wrong.
We work hard to make sure LotFox never states something the records do not support. That is a design commitment, not a warranty. Section 18 governs what we do and do not promise.
7. AI-generated content
Parts of the Service — negotiation talking points, some property reads, and photo analysis — are generated or assisted by artificial intelligence, including models from third-party providers. The Service is designed to label this content where it appears, but you should assume any narrative text or estimate may be AI-generated. AI-generated content can be incomplete, outdated, or wrong even when it reads confidently. Read it as a starting point for your own review, not a finding.
When you upload a photo or enter text for analysis, that content is sent to the AI provider for processing under our agreement with them. The Privacy Policy describes this.
8. Fair Housing
LotFox surfaces facts anchored to a specific parcel: its size, structure, sales, permits, and the like. By design it does not surface neighborhood characterizations, demographic data, school ratings, crime data, or other area-level information, because that information is a well-known vehicle for steering.
You agree to use the Service only in compliance with the federal Fair Housing Act, the Florida Fair Housing Act, and every other law that prohibits discrimination in housing. You will not use anything in the Service — a fact, a talking point, an export — to discriminate against, steer, or make housing less available to anyone on the basis of race, color, religion, sex, national origin, familial status, disability, or any other protected characteristic under federal, state, or local law.
Compliance is your responsibility. LotFox provides facts; how you use them with a client is your conduct, not ours.
9. Your professional responsibility
If you are a licensed agent or broker, you remain bound by Chapter 475 of the Florida Statutes, the rules of the Florida Real Estate Commission, your brokerage's policies, and any professional code you have adopted. Nothing in the Service changes those obligations.
Anything you share with a client from LotFox — a screen, a talking point, an exported buyer summary — is your communication to your client. You are responsible for verifying it before you rely on it or pass it on, for any advice you give based on it, and for any disclosure your license or the transaction requires. Exports that carry your name carry it because you are the professional standing behind them.
10. Acceptable use
You may use the Service to research properties in the ordinary course of real estate practice. You may not:
* copy, scrape, crawl, or bulk-download data from the Service, or use scripts, bots, or automated tools to access it; * resell, sublicense, redistribute, or build a product or dataset from the Service's data, Outputs (defined in section 12), or analyses; * use the Service or any Output to train, fine-tune, evaluate, or otherwise develop any artificial intelligence or machine learning model, or submit Outputs in bulk to any such system; * access or use the Service to build, improve, or benchmark a competing product or service, or on behalf of anyone doing so; * store, compile, or aggregate Outputs beyond what you need for the specific transactions and clients you are working with; * call the Service's functions directly, circumvent sign-in or session checks, probe or test the Service's security, or interfere with its operation; * use the Service, or anything derived from it, to decide whether to extend credit, offer insurance, offer employment, or rent or sell housing to a specific person in any way governed by the Fair Credit Reporting Act. LotFox is not a consumer reporting agency and its outputs are not consumer reports; * use the Service to harass, threaten, or unlawfully contact any property owner or occupant; * use the Service in a way that violates any law, any third party's rights, or these Terms; * reverse engineer, decompile, or attempt to extract the source code, models, rules, or data structures behind the Service, except where the law gives you that right regardless of this clause; * share your account, password, or session, or use another person's account; * remove or obscure any source label, as-of date, or "unavailable" notice from anything you take from the Service.
We can suspend or close an account for any of these without notice.
11. Your content
You may enter list prices, notes, photos, brokerage details, feedback, and other content ("Your Content").
You own Your Content. You give LotFox a non-exclusive, worldwide, royalty-free license to store, process, transmit, and display Your Content as needed to run the Service for you, to improve the Service, and to send it to the providers described in section 7. This license ends when you delete the content or close your account, except for copies in routine backups and anything we must keep by law.
Two things do not end with it. Improvements we made to the Service while we held the license remain ours and remain in the Service. And we may create, use, and keep aggregated or de-identified data derived from use of the Service — data that does not identify you, your clients, or your organization — for any lawful purpose. We own that data.
You are responsible for Your Content. When you upload a photo, you are representing that you have the right to upload it and to have it analyzed. Do not upload content you do not have rights to, content that identifies a person without their consent, or content that is unlawful.
Feedback. If you send us suggestions, bug reports, or ideas — through the in-page feedback button or otherwise — you assign to LOTFOX LLC all rights in them. Where an assignment is not effective, you give us a perpetual, irrevocable, worldwide, royalty-free, sublicensable license to use them for any purpose. Either way, we owe you nothing for them and have no duty to keep them confidential.
Copyright complaints. If you believe content uploaded to the Service infringes your copyright, send a notice to our designated agent:
LOTFOX LLC, Attn: Miles Bagley, Copyright Agent 619 32nd Avenue West, Palmetto, Florida 34221 lotfoxtalk@outlook.com
The notice must contain the information required by 17 U.S.C. § 512(c)(3): identification of the work, identification of the material and where it is, your contact information, a statement of good-faith belief that the use is unauthorized, a statement under penalty of perjury that the notice is accurate and that you are authorized to act, and your signature. We will remove material that appears to infringe and will close the accounts of repeat infringers.
12. Our intellectual property and your license
The Service, including its software, design, rules, decodes, compilations, text, and the way public data is organized and presented, belongs to LOTFOX LLC and its licensors and is protected by copyright, trade secret, and other laws. The underlying public records are public. Our selection, arrangement, normalization, and analysis of them are not.
Outputs. "Outputs" means everything the Service generates or displays for you: reads, flags, talking points, comparable-sale selections, photo analyses, cost estimates, summaries, and exports. As between you and us, LOTFOX LLC owns the Outputs, apart from Your Content and the underlying public records that appear in them.
Your license. We give you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to use the Service, and to use Outputs, for your own real estate practice in accordance with these Terms. That includes sharing an individual Output with your client, your brokerage, and the other parties to the specific transaction it concerns. It does not include anything section 10 prohibits.
Everything else is reserved. No other rights are granted, by implication or otherwise. The LotFox name, logo, and fox mark are trademarks of LOTFOX LLC; do not use them without written permission.
13. Privacy
Our Privacy Policy, at https://thelotfox.com/privacy, explains what we collect, why, who we share it with, and how to get it deleted. It covers, among other things: the account information you give us; anonymous usage events we log to find out where the Service fails (for example, every search that returns no match — the event, not the person); the third-party services that host and process the Service; and your rights. By using the Service you agree to the Privacy Policy.
We will never sell your account information.
14. Fees
LotFox is currently provided at no charge. We may introduce fees, subscriptions, or organization seat licensing in the future. If we do, we will give at least 30 days' notice, and you will not be charged for anything without agreeing to the price first. If you or your organization decline, your access to paid features ends when the free period does; you can close your account at any time.
15. Pre-release status and availability
The Service is in pre-release. Features will change, appear, and disappear; counties will come online and, occasionally, go offline for maintenance; and the Service may be unavailable at times without notice. We do not guarantee uptime, and we may change or discontinue any part of the Service at any time.
Confidentiality. "Confidential Information" means the non-public parts of the Service: features not yet publicly released, and the rules, thresholds, scoring, signal logic, decodes, data structures, prompts, and methods behind the Outputs, whether you learn them from the Service, from us, or by inference. These are trade secrets of LOTFOX LLC.
You will not disclose Confidential Information to anyone outside your organization, and you will not use it for anything except using the Service under these Terms. This does not restrict you from sharing an individual Output as section 12 allows, from disclosing information that is or becomes public through no fault of yours, or from making a disclosure the law requires, provided you tell us first where the law allows. Nothing here limits any right you have under 18 U.S.C. § 1833(b) to disclose a trade secret in confidence to a government official or an attorney for the purpose of reporting a suspected violation of law.
This obligation lasts for as long as the information remains non-public, including after your account is closed.
If your organization is participating in a pilot under a separate agreement (for example, a non-disclosure agreement between LotFox and your brokerage), that agreement also applies, and where the two differ, whichever protects Confidential Information more governs.
16. Third-party sites and services
The Service links to county property appraiser and building department sites and relies on third-party hosting, database, email, and AI providers. We do not control them and are not responsible for their content, availability, or practices. Your use of a third-party site is governed by that site's terms.
17. Suspension and termination
You may stop using the Service and close your account at any time.
We may suspend or close your account, or restrict any part of the Service, at any time, with or without notice, if we believe you have violated these Terms, if your use creates risk or legal exposure for us, if your organization's administrator removes you, or if we discontinue the Service. Where practical we will tell you why.
On termination your license under section 12 ends and you must stop using the Service. Sections 6 through 13, the confidentiality obligations in section 15, and sections 18 through 23 survive termination.
18. Disclaimer of warranties
THE SERVICE, AND EVERYTHING IN IT, IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE FULLEST EXTENT THE LAW ALLOWS, LOTFOX LLC DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, AND ANY WARRANTY THAT THE SERVICE OR ITS DATA IS ACCURATE, COMPLETE, CURRENT, RELIABLE, ERROR-FREE, OR UNINTERRUPTED.
WITHOUT LIMITING THAT: PUBLIC RECORDS CONTAIN ERRORS; COUNTY AND STATE DATA LAG REALITY; AI-GENERATED CONTENT CAN BE WRONG; AND NOTHING IN THE SERVICE IS A REPRESENTATION ABOUT THE VALUE, CONDITION, LEGAL STATUS, OR SUITABILITY OF ANY PROPERTY. YOU USE THE SERVICE, AND ACT ON IT, AT YOUR OWN RISK.
19. Limitation of liability
TO THE FULLEST EXTENT THE LAW ALLOWS, LOTFOX LLC AND ITS MEMBERS, MANAGERS, EMPLOYEES, CONTRACTORS, AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOST PROFITS, LOST COMMISSIONS, LOST DEALS, LOST DATA, OR LOSS OF GOODWILL, ARISING FROM OR RELATED TO THE SERVICE OR THESE TERMS, HOWEVER CAUSED AND UNDER ANY THEORY OF LIABILITY, EVEN IF WE WERE TOLD SUCH DAMAGES WERE POSSIBLE.
OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US FOR THE SERVICE IN THE TWELVE MONTHS BEFORE THE CLAIM AROSE AND (B) ONE HUNDRED U.S. DOLLARS ($100).
Some laws do not allow certain limitations; in that case these limits apply to the fullest extent permitted.
20. Indemnification
You will defend, indemnify, and hold harmless LOTFOX LLC and its members, managers, employees, and contractors from any claim, demand, loss, liability, cost, or expense (including reasonable attorneys' fees) arising from: Your Content; your use of the Service; anything you tell a client, customer, or third party based on the Service; any violation of these Terms; any violation of law, including fair housing, licensing, or consumer protection law; or any dispute between you and your brokerage, your client, or another user.
21. Governing law and disputes
These Terms are governed by the laws of the State of Florida, without regard to conflict-of-law rules.
Any dispute arising from or related to these Terms or the Service will be brought exclusively in the state or federal courts located in Manatee County, Florida, and you and we each consent to personal jurisdiction there.
TO THE EXTENT THE LAW ALLOWS, YOU AND WE EACH WAIVE ANY RIGHT TO A JURY TRIAL.
Injunctive relief. A breach of section 10, 12, or 15 would cause LOTFOX LLC irreparable harm that money cannot adequately repair. For any actual or threatened breach of those sections we may seek an injunction or other equitable relief in any court with jurisdiction, without posting a bond and without proving actual damages, in addition to every other remedy. The limits in section 19 cap what we owe you; they do not cap what you owe us for such a breach.
Attorneys' fees. If either party brings an action to enforce these Terms, the prevailing party may recover its reasonable attorneys' fees and costs from the other.
22. Changes to these Terms
We may change these Terms. When we do, we will post the new version with a new effective date and version string, and we will ask you to accept the new version on the agreement screen before you continue using the Service. That acceptance is recorded against your account the same way your first one was. The version you accepted is the version that binds you until you accept a later one.
23. General
* Entire agreement. These Terms, together with the Privacy Policy and any organization or pilot agreement that references them, are the whole agreement between you and LotFox about the Service. * Severability. If any part of these Terms is unenforceable, the rest stands. * No waiver. Our not enforcing a provision is not a waiver of it. * Assignment. You may not assign these Terms. We may assign them in connection with a merger, sale, or reorganization. * No third-party beneficiaries. Except the indemnified parties in section 20, no one else has rights under these Terms. * Force majeure. We are not responsible for delays or failures caused by events outside our reasonable control. * Electronic communications. You agree that we may send notices, including changes to these Terms, to the email address on your account, and that those notices satisfy any legal requirement that a communication be in writing. We may also send you product updates about the Service by email; you can opt out of those at any time using the link in the email or by contacting us, and opting out does not affect notices required by these Terms. * Independent parties. Nothing here creates a partnership, agency, employment, or brokerage relationship between you and LotFox.
